Who we are
These terms apply to every quote, order and delivery by Zabit BV, Kiewitstraat 196 G, 3500 Hasselt, Belgium (VAT BE 0802.565.627), trading as CoinTainerz (“we”). By placing an order you accept these terms; your own purchasing conditions do not apply unless we agree to them in writing.
Quotes and orders
Quotes are valid for 14 days unless stated otherwise. Prices are in US dollars, ex works Hasselt (Incoterms 2020 EXW), excluding VAT, transport, insurance, installation, miners and site works unless the quote says otherwise. An order is binding once we confirm it in writing and the down payment has been received.
Payment
Standard schedule: 50 % on order confirmation, 40 % before shipment, 10 % on commissioning or 30 days after delivery, whichever comes first. Invoices are payable within 14 days. Late payment carries interest under the Belgian Act of 2 August 2002 plus a fixed indemnity of 10 % (minimum $ 250). Title passes on full payment.
Lead time and delivery
Indicative lead time is 8 weeks from down payment and final technical sign-off. Lead times are estimates; delays give no right to cancel or compensation unless we exceed the agreed date by more than 8 weeks through our own fault. Risk passes on hand-over to the carrier.
Specifications and miners
Containers are built to the specification confirmed in the order (miner model, count, voltage, cooling). Changes after confirmation may affect price and lead time. Compatibility with miner models is based on manufacturer data; we are not liable for firmware, pool or manufacturer changes.
Installation and commissioning
Where agreed, our engineers commission on-site. The client provides a level pad, power connection, water/coolant supply where relevant, network uplink, permits and safe access. Travel and lodging are charged as quoted.
Warranty
24 months on our own steel, electrical and cooling work from delivery, limited to repair or replacement. Third-party components (switchgear, PDUs, fans, dry coolers, network) carry the manufacturer warranty. Excluded: miners, wear parts, filters, fluids, damage from misuse, modifications, or operation outside the specified environment.
CubeApp software
CubeApp is licensed, not sold, for use with the delivered equipment. The edge agent is deterministic and never overrides PLC or manual safety logic. Cloud portal access is subject to the service terms shown at first login. We may update the software; we do not access or move client funds or wallets.
Hosting
Hosting services are invoiced monthly on metered consumption at the agreed $ / kWh rate. Minimum term, notice period and equipment insurance are stated in the hosting agreement. We may power down equipment for safety, grid instructions or unpaid invoices after notice.
Liability
Our total liability per order is limited to the amount invoiced for that order. We are not liable for indirect loss, including lost mining revenue, downtime, price movements of any digital asset, difficulty or network changes. Nothing limits liability for fraud, gross negligence or death or personal injury.
Export, compliance and sanctions
The client is responsible for import duties, local permits, grid agreements and compliance with sanctions and export laws at the destination. We may refuse or cancel an order where delivery would breach applicable law.
Force majeure
Neither party is liable for delays caused by events beyond reasonable control, including supplier shortages, port congestion, energy restrictions or government measures. Lead times extend accordingly.
Law and disputes
Belgian law applies. Disputes go to the courts of the judicial district of Limburg, division Hasselt. Parties first try to settle in good faith within 30 days.
